MISSION STATEMENT

Provide assistance and recommend changes and modifications to organizational policies and governing principles to help guide the Board in achieving its strategic and administrative goals.   Review actions of the Board to ensure compliance with the governing documents.  Review all governing and administrative policies to improve the Board's efficiency and effectiveness in leading this community.

MEMBERSHIP

The Board Policy and Administration committee shall not exceed 9 members.  The Board shall select the Chair.  A member of the Board shall act as the liaison to the committee.  The Chair will select the membership of the committee subject to the Board's approval.  The General Manager shall be an ex-officio member.

DUTIES AND RESPONSIBILITIES

1.      Assist the Board in effectively carrying out its governing functions by reviewing, analyzing, updating and recommending policy and procedures that clearly delineate the roles and responsibilities of the organization and its management.

2.      Develop and maintain the Corporate Policy Manual.

3.      Review all governing documents and recommend updates and revisions that will provide the necessary consistency and authority for the Board to fulfill its duties and responsibilities. 

4.      Review and recommend the appropriate action on any changes recommended by committees, staff or residents.

5.      Prepare all revisions to governing documents, approved by the Board, for review by the HOA legal counsel.  Assist the Election committee in providing for community elections on CC&R or other governing documents when required.

6.      Ensure that a Governance Policy is in place to establish a performance standard for Board officers and members.

7.      Annually develop and coordinate orientation programs for Board and committee members.

8.      Recommend and coordinate the development of communication systems to enhance the Boards communication with the community.

9.      Conduct an annual review of the Board actions to determine the Board's effectiveness in meeting its major responsibilities and strategic goals.

10. Where appropriate, recommend modification to Heritage Highlands club policies which are in the best interest of the community.
